Terms of Service

Please read these terms carefully before using our services. They govern our entire working relationship.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Fixwp (RoundBorders LLC) ("Fixwp", "we", "us", or "our"), Al Messaned – Al Mutsannid Suburb, Sharjah 500001, United Arab Emirates, governing your use of our website at https://www.fixwp.io and any services we provide to you. By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, please do not use our services.

Acceptance of Terms

By submitting a project, creating an account, making a payment, or otherwise engaging our services, you represent that:

  • You are at least 18 years of age, or have the legal capacity to enter into contracts in your jurisdiction.
  • If acting on behalf of a company or organisation, you have the authority to bind that entity to these Terms.
  • All information you provide to us is accurate, current, and complete.

These Terms apply to all visitors, users, and clients of the Service, regardless of whether you have created an account.

Services

Fixwp provides WordPress-related professional services, including but not limited to:

  • Error diagnosis & critical fixes
  • Database repair & recovery
  • Performance & speed optimisation
  • Security hardening & malware removal
  • Custom plugin development
  • Custom theme development
  • WooCommerce setup & support
  • SEO technical optimisation
  • Website migrations
  • Monthly maintenance plans
  • Hosting recommendations & setup
  • Third-party integrations

We reserve the right to decline any project at our sole discretion, including work that involves unlicensed software, illegal content, or activity that violates the rights of third parties. The specific scope of any engagement is defined by the written estimate we provide to you prior to commencement.

Scoping & Estimates

Project Submission

All engagements begin with a project submission. You agree to provide us with accurate, complete information about the issue or work required. The quality and completeness of the information you provide directly affects our ability to scope and price the work correctly.

Scoping Phase

Prior to commencing any work, we will ask clarifying questions to arrive at a clear, mutual understanding of your requirements. This phase may involve us requesting temporary access to your WordPress dashboard, hosting account, or related systems.

Fixed-Cost Estimates

We provide fixed-cost estimates based on the defined scope of work. Estimates are free of charge and carry no obligation. An estimate is valid for 14 days from the date of issue. Accepting an estimate and funding the project constitutes your agreement to the scope and price as stated.

Scope Changes

Any changes to the agreed scope after work has commenced may affect the timeline and cost. We will notify you of any such impact before proceeding. Material changes to scope will require a new or amended written estimate before additional work begins.

Payment

Payment in Advance

Payment is required in full before work begins on any project, unless otherwise agreed in writing. For monthly maintenance plans, payment is due at the start of each billing period.

Payment Processor

Payments are processed securely via Stripe . We do not store or have access to your card details. All payment information is handled directly by Stripe in accordance with their Privacy Policy and PCI-DSS compliance standards.

Taxes

Our fees are exclusive of any applicable taxes, levies, or duties. You are solely responsible for any taxes applicable in your jurisdiction in connection with your purchase of our services.

Chargebacks

Initiating a chargeback or payment dispute without first contacting us to resolve the issue is a breach of these Terms. In such cases, we reserve the right to suspend access to your account and any ongoing work pending resolution.

Refund Guarantee

If the solution we deliver does not fulfil the agreed scope of work, we offer a full refund. Our goal is to build long-term relationships, your satisfaction is not optional.

Eligibility

A refund may be requested when the delivered work materially fails to meet the written scope of work agreed upon before the project started. Refund eligibility is assessed against the original agreed scope, not against requirements added or modified after work commenced.

Process

To request a refund, contact us at [email protected] within 7 days of project delivery, clearly describing how the deliverable falls short of the agreed scope. We will review your request and respond within 3 business days. Where appropriate, we may first attempt to remedy the issue before processing a refund.

Exclusions

Refunds do not apply to: monthly maintenance plans after a billing period has commenced; work completed per scope where the client has since changed their requirements; delays or failures caused by the client's failure to provide necessary access, information, or approvals; or third-party issues outside our reasonable control such as hosting outages or plugin vendor bugs.

Client Responsibilities

A successful project depends on both parties. As a client, you agree to:

Provide accurate information

Supply us with complete, accurate details about your project, including any known issues, prior fixes attempted, and relevant credentials. Providing misleading or incomplete information that causes us to misscope work relieves us of the refund obligation for that misscoping.

Provide timely access

Grant us the necessary access to your WordPress installation, hosting environment, FTP/SSH, database, or other systems required to complete the work within a reasonable timeframe. Delays in providing access may affect delivery timelines.

Maintain backups

Ensure that a current, restorable backup of your website exists before work begins. While we take precautions, we strongly recommend an independent backup. We are not liable for data loss where a backup was not maintained.

Own or have rights to the site

Confirm that you own, or have explicit authorisation from the owner to modify, the website(s) you submit to us. We will not knowingly perform work on a site without proper authorisation.

Use legal software

Not request work involving nulled, pirated, or unlicensed WordPress themes, plugins, or other software. We reserve the right to decline or terminate such projects immediately.

Intellectual Property

Ownership of Deliverables

Upon receipt of full payment, all custom code, themes, and plugins developed exclusively for your project ("Deliverables") are assigned to you. You have full ownership and may use, modify, or distribute them as you see fit.

Fixwp IP & Tools

Any pre-existing tools, frameworks, libraries, boilerplates, or methodologies we use in delivering your project that are not created exclusively for you remain the property of Fixwp or their respective third-party owners. Where such tools are open source, they are governed by their respective licences (e.g. GPL for WordPress-derived work).

Third-Party Components

Where we incorporate third-party themes, plugins, or libraries into your project, their use is subject to their respective licences. You are responsible for maintaining valid licences for any premium third-party software used on your site.

Portfolio Use

We reserve the right to reference your project in our portfolio and marketing materials unless you expressly request confidentiality in writing before the project begins. We will never publish credentials, sensitive business information, or non-public site details.

Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive access to confidential information belonging to the other. Each party agrees to:

  • Keep all credentials, login details, and proprietary information strictly confidential.
  • Not disclose confidential information to any third party except as necessary to deliver the agreed services.
  • Revoke or change any access credentials provided to us promptly upon project completion.

These obligations survive the termination of any project engagement for a period of two (2) years.

Warranties & Disclaimers

Our Warranty

We warrant that the services will be performed with reasonable skill and care, and that any deliverables will materially conform to the agreed scope of work. If a defect in our work is reported within 30 days of delivery, we will remedy it at no additional charge.

No Guarantee of Results

While we apply best practices to all engagements, we cannot guarantee specific outcomes such as search engine rankings, conversion rates, revenue growth, or the behaviour of third-party services and plugins that are outside our control.

Third-Party Software

WordPress core, themes, and plugins are third-party software. We are not responsible for bugs, security vulnerabilities, or breaking changes introduced by third-party software updates after our work is delivered.

Disclaimer

Except as expressly stated above, our services are provided "as is" without warranty of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
  • We are not liable for any loss or damage arising from your failure to maintain backups, provide accurate information, or secure your own systems and credentials.

Indemnification

You agree to indemnify, defend, and hold harmless Fixwp (RoundBorders LLC), its officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, and costs (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misrepresentation of ownership or authority over a website, your use of unlicensed software, or your violation of any third-party rights in connection with the services we provide to you.

Accounts & Access

Account Security

You are responsible for maintaining the confidentiality of your Fixwp account credentials. Any activity carried out under your account is your responsibility. Notify us immediately at [email protected] if you suspect unauthorised access.

Acceptable Use

You agree not to use our platform to submit fraudulent, abusive, or unlawful requests; impersonate any individual or entity; attempt to reverse-engineer or interfere with our systems; or use our services in any manner that could harm us, our clients, or third parties.

Termination

By You

You may cancel a project at any time before work commences for a full refund. If work has already begun, you will be invoiced for the portion of work completed up to the cancellation date, and any remaining balance will be refunded. Monthly maintenance plans may be cancelled with 30 days written notice; no partial-month refunds are provided.

By Us

We reserve the right to refuse, suspend, or terminate any project or account immediately and without notice if we determine, in our sole discretion, that you have breached these Terms, engaged in fraudulent or abusive behaviour, submitted work involving illegal content, or otherwise acted in a manner harmful to us or third parties. In such cases, no refund will be issued for work already performed.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved amicably by both parties. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the competent courts of Sharjah, UAE.

Changes to Terms

We may update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. The revised Terms will be effective 180 days after posting for existing clients, and immediately for new projects commenced after the posting date.

Your continued use of our services after a revision becomes effective constitutes your acceptance of the updated Terms. We recommend bookmarking this page and reviewing it periodically.
